Terms of Service for Roam At Will (R@W)

Effective Date: 12 January 2026

These Terms of Service (“Terms”) govern access to and use of the Roam At Will mobile application, website, and related services (collectively, the “Platform”) operated by Roam At Will, LLC (“R@W,” “we,” “us,” or “our”).

By accessing or using the Platform, you agree to be bound by these Terms.

1. Platform Description and Role

Roam At Will is a technology platform that enables users to:

• Share travel schedules and service offerings
• Discover and communicate with other users offering services
• View third-party business information and paid advertisements

R@W is not a service provider, contractor, broker, agent, employer, or referral service. R@W does not provide, perform, supervise, manage, endorse, or guarantee any services offered by users or businesses.

2. No Professional Verification or Endorsement

R@W does not:

• Verify licenses, certifications, insurance, bonding, or qualifications
• Evaluate the legality or suitability of any services
• Endorse or recommend any provider or business
• Guarantee the quality, safety, or legality of any services

Any credentials, descriptions, ratings, or reviews displayed on the Platform are user-generated or third-party information and are not validated by R@W.

3. Third-Party Listings and Data Sources

The Platform may display business information provided by third parties, including Google Places API.

Business information provided by Google or other third parties is displayed for informational purposes only. R@W does not verify, endorse, or have a relationship with these businesses unless expressly stated.

Third-party content is governed by the terms and policies of the applicable third party.

4. Sponsored and Paid Advertisements

Certain business listings may be paid advertisements.

Paid advertisements:

• Are clearly labeled as “Sponsored” or “Paid Advertisement”
• Do not constitute endorsement, verification, or recommendation by R@W
• Are displayed solely as advertising content

5. User Responsibilities

Users are solely responsible for:

• Verifying qualifications, licenses, insurance, and compliance of any service provider
• Determining whether a service is legal in their jurisdiction
• All interactions, communications, and agreements made through or outside the Platform

R@W is not a party to any agreement between users or between users and businesses.

6. Independent Users and No Agency

Users act solely as independent parties.

Nothing in these Terms creates:

• An employment relationship
• An agency relationship
• A partnership or joint venture
• A fiduciary relationship

7. Ratings and Reviews

Ratings and reviews are:

• Submitted by users
• Reflect individual opinions and experiences
• Not verified or moderated for accuracy by R@W

R@W does not endorse, validate, or guarantee the accuracy of ratings or reviews.

8. Payments and Transactions

R@W does not:

• Process payments for services
• Set prices
• Collect service fees
• Escrow funds
• Resolve payment disputes

All financial arrangements occur directly between users or businesses.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”

R@W DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, R@W SHALL NOT BE LIABLE FOR:

• PERSONAL INJURY
• PROPERTY DAMAGE
• ECONOMIC LOSS
• REGULATORY OR LICENSING VIOLATIONS
• USER MISREPRESENTATIONS
• DISPUTES BETWEEN USERS OR BUSINESSES

11. Indemnification

You agree to defend, indemnify, and hold harmless R@W from all claims, damages, losses, liabilities, and expenses arising from:

• Your use of the Platform
• Services you offer or obtain
• Violations of law or regulation
• Misrepresentations or omissions

12. Dispute Resolution and Arbitration

All disputes shall be resolved through binding arbitration, on an individual basis, with no class actions permitted, except where prohibited by law.

13. Termination

R@W may suspend or terminate access at any time for any reason, including violations of these Terms.

14. Modifications

R@W may update these Terms at any time. Continued use constitutes acceptance of revised Terms.

14A. International Use

The Platform is operated from the United States. R@W does not represent that the Platform or services described are appropriate or available for use in all jurisdictions. Users accessing the Platform from outside the United States do so at their own initiative and are responsible for compliance with local laws.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
